1. Introduction
These Marketplace Vendor Terms govern the registration, listing, promotion, sale and delivery of vendor services through the WoWYou EventTech / EventOS platform operated by WoWYou Concepts Ltd.
By creating a vendor account, submitting a listing, accepting a booking, selling a service, receiving a lead, participating in an event marketplace or otherwise using EventOS as a vendor, you agree to these Marketplace Vendor Terms, our Terms of Service, Privacy Policy, Acceptable Use Policy, AI Usage Policy and any applicable Order Form or Marketplace Agreement.
If you are using EventOS on behalf of a company, partnership, charity, venue, agency or other organisation, you confirm that you have authority to bind that organisation to these terms.
2. Definitions
Buyer means an event organiser, attendee, enterprise customer, sponsor, venue, agency or other user that purchases, books, requests or receives vendor services through EventOS.
EventOS means the WoWYou EventTech Event Operating System, including its website, mobile app, marketplace, event tools, booking flows, payment functions, AI features and related services.
Marketplace means the area of EventOS where vendors may list, advertise, quote, sell, book or deliver services connected with events.
Vendor means any business, sole trader, freelancer, service provider, sponsor, exhibitor, venue, supplier, marketplace partner or other person approved to offer services through EventOS.
Vendor Services means services or products offered by a Vendor, including catering, decoration, AV, photography, event production, staffing, entertainment, venues, accommodation, logistics, wellness experiences, brand activations, training or other event-related services.
WoWYou means WoWYou Concepts Ltd, operating as WoWYou EventTech / EventOS.
3. Marketplace Role of WoWYou Concepts Ltd
Unless expressly stated in writing, WoWYou provides the technology platform that enables Vendors and Buyers to connect, transact, communicate and manage bookings.
WoWYou is not automatically the supplier of the Vendor Services and is not responsible for the quality, safety, legality, availability or delivery of Vendor Services provided by independent Vendors.
Where WoWYou Concepts Ltd separately contracts to provide event management, production, Signature Experiences or other direct services, those services will be governed by the relevant proposal, order form, event contract or service terms.
Vendors act as independent contractors and are not employees, agents, partners, franchisees or representatives of WoWYou unless expressly agreed in writing.
4. Vendor Eligibility and Onboarding
To become or remain a Vendor on EventOS, you must provide accurate, complete and current information requested by WoWYou.
WoWYou may approve, reject, suspend or remove a Vendor at its discretion, including where verification cannot be completed, where risk is high, where complaints are unresolved, where legal requirements are not met, or where a Vendor breaches these terms.
- Legal business name, trading name and registered address
- Contact person and customer service contact details
- Company registration number, charity number, tax number or equivalent where applicable
- VAT number or local tax registration where applicable
- Proof of insurance, licences, permits, qualifications or certifications where relevant
- Bank account and payout information
- Identity verification and beneficial ownership information where required
- Details of services, locations served, pricing, availability and cancellation rules
5. Trader Traceability and Marketplace Transparency
Where EventOS enables consumers or organisations to conclude transactions with Vendors, WoWYou may request information to verify that Vendors are traceable, contactable and legally entitled to trade in the relevant market.
Vendors authorise WoWYou to display relevant trader information to Buyers where required by law or marketplace policy, including the Vendor name, business status, trading address, contact details, VAT or tax information, complaints process, cancellation terms and any other mandatory pre-contract information.
Vendors must promptly update information if it becomes inaccurate or incomplete.
Failure to provide or maintain required information may result in listing removal, payout delay, account restriction or termination.
6. Vendor Listings
Vendors are responsible for ensuring that all listings, profiles, service descriptions, images, videos, pricing, packages, availability, terms, credentials, insurance claims, testimonials and marketing materials are accurate, lawful and not misleading.
Each listing must clearly describe the following.
WoWYou may edit, reject, hide, delist or request changes to listings that are incomplete, misleading, non-compliant, unsafe, low quality or inconsistent with EventOS standards.
- The main characteristics of the service
- The total price or clear method for calculating the price
- Any deposits, service charges, travel fees, VAT, taxes, booking fees or additional costs
- What is included and excluded
- Location, availability, delivery timelines and service duration
- Cancellation, refund, rescheduling and no-show terms
- Any licence, age restriction, venue requirement, safety requirement or operational limitation
- Who is selling the service and how the Buyer can contact the Vendor for service-related support
7. Pricing, Taxes and Fees
Vendors are responsible for setting lawful, transparent and accurate prices. Prices must not mislead Buyers or hide compulsory fees. Any unavoidable charges must be clearly disclosed before purchase or booking.
- Vendors are responsible for VAT, sales tax, withholding tax, income tax, corporation tax, customs duties and other applicable taxes unless otherwise agreed.
- WoWYou may charge marketplace commissions, platform fees, lead fees, booking fees, payment processing fees, subscription fees, listing fees or promotional fees.
- Fees may be deducted from Vendor payouts before settlement.
- WoWYou may update marketplace fees with notice or as stated in an Order Form or Vendor Agreement.
- Vendors must not circumvent EventOS payment flows to avoid platform fees where the lead, booking or transaction originated on EventOS.
8. Payments, Payouts and Reserves
Where EventOS facilitates payments, payment processing may be provided by third-party payment processors. Their terms, verification requirements, settlement rules and restrictions may apply.
WoWYou may withhold, delay, reverse or offset payouts where appropriate.
WoWYou may maintain payout reserves for high-risk events, high-value transactions, new Vendors, cancelled events, elevated complaint levels, chargeback exposure or other risk factors.
- Identity or business verification is incomplete
- Fraud, chargeback, refund, complaint or legal risk is suspected
- A Vendor has breached these terms
- A Buyer disputes the service or payment
- An event is cancelled, postponed or materially changed
- WoWYou is required to do so by law, payment processor rules, sanctions rules or a regulator
9. Bookings and Contracts with Buyers
Unless WoWYou is expressly named as the supplier, the contract for Vendor Services is between the Vendor and the Buyer.
Vendors are responsible for delivering the agreed services in accordance with the listing, quote, invoice, booking confirmation, event requirements and applicable law.
Vendors must honour accepted bookings unless cancellation is permitted under the stated cancellation terms or required by law, safety, venue restrictions, force majeure or other serious circumstances.
Any additional terms supplied by a Vendor must not conflict with these Marketplace Vendor Terms, the EventOS Terms of Service or applicable law.
10. Service Delivery Standards
Vendors must deliver services professionally, safely, lawfully and with reasonable skill and care.
- Arrive on time and provide adequate personnel, equipment and materials
- Communicate promptly with Buyers and WoWYou where required
- Comply with venue rules, event instructions and health and safety requirements
- Provide services consistent with descriptions, samples, quotes and agreed specifications
- Treat attendees, organisers, staff, suppliers and WoWYou personnel respectfully
- Avoid discriminatory, unsafe, harassing, fraudulent or abusive behaviour
- Hold required licences, certifications, insurance and permissions for the services offered
11. Cancellations, Refunds, Rescheduling and No-Shows
Vendors must publish fair and clear cancellation, refund and rescheduling terms. These terms must comply with applicable consumer protection, contract, booking and local laws.
Where a Vendor cancels, fails to attend, materially under-delivers or cannot provide the booked service, the Vendor may be responsible for refunds, replacement costs, chargebacks, Buyer compensation, platform fees, administrative costs and any reasonable costs incurred by WoWYou or the Buyer.
Where a Buyer cancels or reschedules, the Vendor may apply its published cancellation policy, subject to applicable law and the EventOS Refund & Cancellation Policy.
WoWYou may intervene, refund, withhold payout, reassign a booking or take other reasonable action where a dispute, event cancellation, serious complaint, safety issue or legal risk arises.
12. Insurance, Permits and Legal Compliance
Vendors are responsible for obtaining and maintaining all insurance, permits, qualifications, registrations, licences, approvals and risk assessments required for their services and locations.
Depending on the service, this may include public liability insurance, employer liability insurance, professional indemnity insurance, product liability insurance, food hygiene registration, alcohol licensing, music or performance licences, child safeguarding clearance, security licences, transport permits, venue approvals, data protection registration, health and safety documentation or local business registrations.
Vendors must provide evidence on request.
WoWYou may remove listings or suspend Vendors who cannot demonstrate appropriate compliance.
13. Regulated, Restricted and Prohibited Services
Vendors must not offer services that are unlawful, unsafe, misleading, infringing, exploitative, discriminatory or prohibited by EventOS policy.
Certain services require prior written approval and additional verification.
Restricted services may include alcohol, transport, security, childcare, medical or wellness services, food services, live animals, pyrotechnics, high-risk entertainment, travel packages, financial services, regulated training, drone operations, fundraising collections and services involving children or vulnerable persons.
Vendors must obtain prior approval before listing restricted services.
- Illegal goods or services
- Counterfeit, stolen, unsafe or recalled products
- Weapons, explosives or dangerous items
- Unlawful gambling, betting or prize schemes
- Adult sexual services or sexually exploitative content
- Controlled drugs, unlawful substances or unlicensed medicines
- Fraudulent immigration, visa, investment, debt or financial services
- Services that promote hate, violence, terrorism, extremism, harassment or discrimination
- Services that exploit children, vulnerable people or unsafe labour practices
- Services that infringe intellectual property or privacy rights
14. Health, Safety and Safeguarding
Vendors must comply with applicable health, safety, fire, food, accessibility, safeguarding, employment, immigration and venue laws.
Vendors must conduct appropriate risk assessments and must not provide services that create unreasonable risk to attendees, workers, children, vulnerable persons, property, venues, animals or the environment.
Vendors must immediately report serious incidents, accidents, safeguarding concerns, suspected unlawful activity, safety risks or data breaches to the Buyer and to WoWYou where EventOS is involved in the booking or transaction.
15. Data Protection and Privacy
Vendors must comply with applicable data protection laws, including GDPR, UK GDPR and relevant local data protection laws in the countries where they operate or serve Buyers.
Where a Vendor receives personal data through EventOS, the Vendor must use the data only to fulfil the relevant booking or approved marketplace purpose.
Depending on the relationship and processing activity, a Vendor may act as an independent controller, joint controller or processor.
WoWYou may require the Vendor to sign a Data Processing Agreement or other data protection terms before accessing Buyer or attendee data.
- Do not sell, rent, scrape or misuse personal data
- Do not send marketing communications unless legally permitted and a valid consent or other lawful basis exists
- Keep personal data secure and limit access to authorised personnel
- Delete or return personal data when no longer needed, unless legally required to retain it
- Notify WoWYou without undue delay of any data breach involving EventOS-sourced data
- Cooperate with lawful data subject requests, regulator requests and data protection assessments
16. AI, Automation and Generated Content
Vendors may use EventOS AI features only in accordance with the EventOS AI Usage Policy and these terms.
AI tools may assist with content, recommendations, planning, matching or analytics, but Vendors remain responsible for reviewing outputs and ensuring accuracy, legality, fairness and suitability before use.
Vendors must not use AI features to:
- Mislead Buyers or attendees
- Generate fake reviews, fake credentials, impersonation or deceptive marketing
- Make unlawful discriminatory decisions
- Process special category data without lawful authority
- Create harmful, abusive, infringing or unsafe content
- Make solely automated decisions with legal or similarly significant effects without proper safeguards
17. Content, Intellectual Property and Branding
Vendors retain ownership of content they upload, but grant WoWYou a worldwide, non-exclusive, royalty-free licence to host, display, reproduce, adapt, promote and use that content as necessary to operate, market and improve EventOS and the marketplace.
Vendors confirm they have all rights required to upload and use images, videos, logos, music, trademarks, descriptions, testimonials and other content.
Vendors must not infringe copyright, trademarks, design rights, privacy rights, publicity rights or other third-party rights.
Vendors may not use WoWYou, WoWYou EventTech, EventOS or WoWYou Concepts branding without prior written permission, except as enabled through official platform functionality.
18. Reviews, Ratings and Endorsements
WoWYou may allow Buyers or attendees to leave reviews, ratings or feedback.
Vendors must not submit fake reviews, pay for undisclosed reviews, suppress negative reviews unlawfully, impersonate customers or manipulate ratings.
WoWYou may remove reviews that are abusive, irrelevant, fraudulent, defamatory, discriminatory, unlawful, privacy-invasive or otherwise inconsistent with platform policy.
Vendors may report reviews they believe breach the rules, but may not pressure Buyers to remove genuine feedback.
19. Marketing and Communications
Vendors must comply with advertising, consumer protection, email marketing, privacy and direct marketing laws.
Marketing claims must be truthful, substantiated and not misleading.
- Do not spam Buyers or attendees
- Do not scrape contact details
- Do not export EventOS data for unauthorised marketing
- Do not use hidden advertising
- Do not misrepresent sponsorship
- Do not contact EventOS-sourced leads outside the platform to avoid fees unless expressly permitted
20. Anti-Bribery, Corruption, Sanctions and Modern Slavery
Vendors must comply with applicable anti-bribery, anti-corruption, anti-money laundering, sanctions, export control, modern slavery, child labour, human trafficking and ethical trading laws.
Vendors must not offer or accept improper payments, gifts, incentives or benefits in connection with EventOS, WoWYou, Buyers, public officials or procurement processes.
WoWYou may conduct screening or request compliance declarations for high-value, public sector, cross-border, regulated or higher-risk transactions.
21. Africa, UK, EU and Local Market Compliance
EventOS may support Vendors and Buyers in Ireland, the United Kingdom, the European Economic Area and selected African markets.
Vendors are responsible for understanding and complying with all laws that apply to their business, services, staff, taxes, customer communications, licensing, consumer rights, data protection, insurance and event delivery in each market they serve.
Where local law requires additional disclosures, invoices, cancellation rights, tax treatment, permits, insurance, transfer mechanisms or regulatory registration, the Vendor must implement them.
WoWYou may require country-specific addenda for certain markets or services.
22. Notice, Reporting and Illegal Content or Services
WoWYou may provide mechanisms for users to report illegal content, unsafe services, misleading listings, fraud, infringement, abuse, harassment, data misuse or other marketplace concerns.
Vendors must cooperate promptly with investigations and provide requested information.
WoWYou may remove listings, restrict visibility, suspend bookings, delay payouts, notify Buyers, notify authorities, preserve records or take other action where a listing, Vendor or service appears unlawful, unsafe, fraudulent, infringing or non-compliant.
23. Audit, Quality Assurance and Marketplace Monitoring
WoWYou may monitor marketplace activity, listings, complaint rates, refund patterns, user feedback, delivery performance, account activity and risk indicators to protect Buyers, Vendors and the platform.
Vendors must provide reasonable information to verify compliance.

24. Suspension, Restriction and Termination
WoWYou may suspend, restrict, delist or terminate a Vendor account immediately or with notice where appropriate.
Termination does not affect obligations that should reasonably continue, including payment obligations, refunds, data protection, confidentiality, intellectual property, liability, indemnity and dispute provisions.
- The Vendor breaches these terms or other EventOS policies
- Verification is incomplete or inaccurate
- The Vendor presents legal, safety, financial, reputational, fraud or data protection risk
- The Vendor receives serious or repeated complaints
- The Vendor fails to deliver services or honour bookings
- The Vendor attempts to bypass EventOS fees or payment processes
- Required by law, regulator, court order, payment processor or platform security
25. Disputes Between Vendors and Buyers
Vendors should try to resolve disputes with Buyers fairly, promptly and professionally.
WoWYou may facilitate communications, request evidence, pause payouts, refund Buyers, apply platform policies or make a marketplace decision, but is not required to mediate every dispute.
Where WoWYou makes a refund or credit decision because of Vendor failure, fraud, non-delivery, chargeback, cancellation, legal obligation or marketplace policy, WoWYou may recover the amount from the Vendor or offset it against future payouts.
26. Confidentiality
Vendors may receive confidential information from WoWYou, Buyers, attendees, enterprise customers, sponsors, venues or other users.
Vendors must protect confidential information, use it only for the authorised purpose and not disclose it except as required to deliver services or comply with law.
27. Warranties and Disclaimers
The Vendor warrants that it has the authority, capability, licences, insurance, qualifications and resources required to provide the Vendor Services and comply with these terms.
EventOS is provided on an as-is and as-available basis.
WoWYou does not guarantee that a Vendor will receive bookings, revenue, leads, visibility, ratings, event opportunities or marketplace growth.
28. Liability
To the fullest extent permitted by law, WoWYou will not be liable for indirect, consequential, special, punitive or loss-of-profit damages arising from Vendor use of the marketplace.
Unless otherwise agreed in writing, WoWYou's total liability relating to a Vendor account, listing, booking or marketplace transaction will not exceed the fees paid by that Vendor to WoWYou in the 12 months before the claim arose.
Nothing in these terms limits liability where it cannot legally be limited, including liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence.
29. Indemnity
The Vendor agrees to indemnify and hold harmless WoWYou Concepts Ltd, its directors, officers, employees, contractors and partners from claims, losses, liabilities, damages, costs and expenses arising from:
- Vendor Services, listings, content, staff, subcontractors or delivery failures
- Breach of these terms or applicable law
- Refunds, cancellations, chargebacks or customer complaints caused by Vendor conduct
- Personal injury, property damage, health and safety failures or safeguarding issues
- Tax, employment, insurance or licensing failures
- Data protection breaches or misuse of EventOS-sourced data
- Intellectual property infringement or misleading marketing
30. Changes to these Marketplace Vendor Terms
WoWYou may update these Marketplace Vendor Terms from time to time.
Material changes may be notified through the platform, email or website.
Continued use of EventOS after the effective date of updated terms means the Vendor accepts the updated terms.
31. Governing Law and Jurisdiction
Unless a written agreement states otherwise, these Marketplace Vendor Terms are governed by the laws of Ireland.
Subject to mandatory consumer protection rights and local laws that cannot be excluded, disputes will be subject to the courts of Ireland.
